GRID NIVA service agreement

Terms and Conditions

These Terms and Conditions govern access to Gridniva, a subscription software service operated by GRID NIVA. By creating an account, starting a trial, purchasing a subscription or using the service, you agree to these Terms.

1. Provider and agreement

About GRID NIVA and Gridniva

GRID NIVA operates the Gridniva software platform. References to “GRID NIVA,” “Gridniva,” “we,” “us” or “our” mean the provider of the Gridniva service. References to “you,” “customer” or “organization” mean the person or organization using or purchasing the service.

You must be legally able to enter this agreement and, when acting for an organization, have authority to bind that organization. These Terms, the Privacy Policy, the Refund & Cancellation Policy and the plan information shown at purchase form the agreement between you and GRID NIVA.

2. Subscription software

The Gridniva Service

Gridniva is cloud-based construction operations software for contractors and project teams. Its four principal workflows are Compliance Document Management; Change Order Management & Scope Creep Protection; Safety Incident Reporting; and Daily Site Logs.

Features may include secure external links, document and photograph uploads, approval, rejection and correction workflows, reminders, notifications, audit timelines and PDF exports. The features, users, projects, subcontractors and monthly usage available to you depend on the plan purchased.

Software, not professional services

Gridniva does not perform construction work, certify compliance, approve commercial changes, investigate incidents, provide legal or safety advice, or replace qualified professional judgment. Customers remain responsible for every operational, contractual, compliance and safety decision.

3. Accounts and permitted use

Your Responsibilities

You must provide accurate account and billing information, keep it current, protect login credentials and control access granted to employees or other users. You are responsible for activity under your account and must notify us promptly of suspected unauthorized access.

You may use Gridniva only for lawful business purposes. You must not misuse the service, interfere with its operation, attempt unauthorized access, upload malicious code, infringe another person’s rights, or store information you are not authorized to collect or use.

4. Customer records

Customer Data and Content

You retain ownership of documents, photographs, project records, subcontractor information, change requests, safety reports, Daily Site Logs and other content submitted through your account. You grant GRID NIVA the limited rights needed to host, process, display, transmit, back up, secure and support that content for operation of the service.

You are responsible for the accuracy and legality of Customer Data, obtaining any required permissions or notices, and deciding how long business records must be retained. Export important records before deleting them or closing an account. Confirmed permanent deletions may not be recoverable.

5. Plans, prices and payment

Subscriptions and Billing

Current plan prices, billing periods, included limits and features are displayed on our Pricing page and at checkout. Unless stated otherwise, prices are in US dollars and exclude taxes that may apply. You authorize the applicable charge at checkout and at each renewal.

Gridniva's 14-day free trial does not require a payment method, does not renew automatically and ends without a charge. Starting a paid plan during the trial ends the free trial immediately and authorizes the charge displayed at checkoutizes the charge displayed at checkout.

Paid subscriptions renew automatically until cancelled. Monthly plans renew monthly and annual plans renew annually. Paddle automatically charges the payment method on file at each renewal. Any future introductory offer or discount is governed by the specific terms displayed when it is offered.

Paddle acts as Merchant of Record for purchases processed through Paddle. Paddle may calculate and collect applicable taxes, issue transaction documents and display its name or payment descriptor on your statement. Payment processing is also subject to the terms presented by Paddle at checkout.

We may change future prices or plan limits by giving reasonable advance notice. A change will normally apply from a future renewal, not retroactively to a billing period already paid, unless required by law or agreed with you.

6. Renewal and cancellation

Cancelling a Subscription

You may cancel at any time through the available subscription-management process or by contacting us. Cancellation stops future renewal charges but does not normally reverse a charge already completed. Unless otherwise stated, access continues until the end of the paid billing period.

You are responsible for cancelling before the renewal date. Deleting data or ceasing to use Gridniva does not by itself cancel a paid subscription. Our separate Refund & Cancellation Policy explains when a refund may be considered and does not limit mandatory rights under applicable law.

7. Availability and changes

Operating the Service

We use reasonable efforts to keep Gridniva available and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, upgrades, third-party failures, internet problems, security events and circumstances outside our reasonable control may affect availability.

We may improve, replace or discontinue features. If a change materially reduces the core functionality of a paid plan, we will make reasonable efforts to provide advance notice or an appropriate remedy where required.

8. Suspension and termination

Ending Access

We may restrict or suspend access to protect the service or its users, investigate suspected misuse, address non-payment or respond to a material breach. We may terminate an account for serious or repeated breach. Where appropriate and practicable, we will provide notice and an opportunity to correct the issue.

On termination, provisions that by their nature should survive will continue, including payment obligations, ownership, disclaimers and limitations. Data remaining after closure is handled under the Privacy Policy and applicable retention requirements.

9. Risk allocation

Disclaimers and Liability

Gridniva is provided on an “as available” basis to the maximum extent permitted by law. You remain responsible for reviewing records, verifying uploads, maintaining business continuity copies and making project decisions. Audit histories and exports support recordkeeping but do not guarantee legal admissibility, regulatory compliance or a particular commercial outcome.

To the maximum extent permitted by law, GRID NIVA is not liable for indirect, incidental, special, consequential or punitive loss, or loss of profit, revenue, opportunity or data. GRID NIVA’s aggregate liability arising from the service will not exceed the fees you paid for Gridniva during the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability or rights that cannot legally be excluded.

10. Changes and disputes

Updates to These Terms

We may update these Terms as the service, law or our operations change. We will update the effective date and provide reasonable notice of material changes. Continued use after an update takes effect constitutes acceptance; if you do not agree, cancel before the effective date and stop using the service.

Before starting formal proceedings, please contact us so we can try to resolve the concern. These Terms are subject to applicable law, including any mandatory consumer or data-protection rights that apply to you.
